Auction Rules

1. Seller Responsibility

The seller is solely responsible for the accuracy, completeness, and legality of all information provided when listing a vehicle.

The seller must have the legal right and authority to sell the vehicle and must provide accurate information regarding the vehicle, including ownership, VIN, title status, lien status, mileage, condition, damage history, and any other material information that may affect the value or legality of the vehicle.

2. Mandatory Title Requirement

The seller must have the vehicle's title in their possession or have the legal ability to obtain and provide the title in accordance with these Auction Rules.

When listing a vehicle, the seller will be required to answer a title-status question and/or check a box confirming whether the seller has the vehicle's title.

By checking the title acknowledgment box, the seller confirms that they understand the title requirements and agree to comply with them.

The seller cannot claim that they were unaware of the title requirement after completing the title acknowledgment during the listing process.

2.1 Seller Does Not Have the Title at the Time of Sale

If the seller does not have the title in their possession when the vehicle is sold, the seller must provide the title within two (2) business days from the date of the completed sale.

The seller must, within this two-business-day period, either:

• Upload a valid copy or electronic title documentation through DRIVEHUB, when requested;
• Email the title to DRIVEHUB or the buyer using the instructions provided by DRIVEHUB; or
• Mail the original title to the address designated by DRIVEHUB or the buyer.

The title must be valid, transferable, correspond to the vehicle sold, and contain all information and signatures required to legally transfer ownership.

2.2 Failure to Provide the Title

If the seller fails to provide the required title within two (2) business days, DRIVEHUB may cancel or revoke the transaction.

In addition, the seller agrees to pay DRIVEHUB a $500 administrative penalty for failure to provide the required title within the required two-business-day period.

DRIVEHUB may also suspend or terminate the seller's account, prevent the seller from listing additional vehicles, withhold or delay funds where applicable, and require the seller to refund any amounts received in connection with the transaction.

The seller may also be responsible for any applicable shipping, payment-processing, administrative, or other costs resulting from the failed transaction, to the extent permitted by applicable law.

3. Mandatory Buyer Payment Requirement

The winning buyer must pay for the vehicle in full within two (2) business days from the date the auction ends or the buyer is notified that they have won the vehicle, unless DRIVEHUB provides a different deadline in writing.

By placing a bid, the buyer confirms that they are prepared and financially able to complete the purchase within the required time period.

The buyer is responsible for paying the full purchase price and any applicable fees using a payment method accepted by DRIVEHUB.

3.1 Failure to Pay

If the winning buyer fails to provide the required payment within two (2) business days, DRIVEHUB may cancel or revoke the transaction.

In addition, the buyer agrees to pay DRIVEHUB a $500 administrative penalty for failure to complete payment within the required two-business-day period.

DRIVEHUB may also:

• Relist the vehicle;
• Suspend or terminate the buyer's account;
• Prevent the buyer from participating in future auctions; and
• Take any other action permitted under the Terms of Service or applicable law.

The buyer may also be responsible for any applicable administrative, payment-processing, relisting, or other costs resulting from the failed transaction, to the extent permitted by applicable law.

4. Buyer and Seller Two-Business-Day Requirement

Both the buyer and seller have important obligations following a completed auction.

Seller: If the seller does not have the title available at the time of sale, the seller must provide the required title within two (2) business days.

Buyer: The winning buyer must provide full payment within two (2) business days.

Failure by either party to comply with their respective obligation may result in the transaction being cancelled or revoked and the responsible party being charged the applicable $500 administrative penalty.

These requirements are designed to ensure that vehicles sold through DRIVEHUB are transferred promptly and that both buyers and sellers complete their obligations in a timely manner.

5. Binding Bids

Unless otherwise stated in the auction listing, bids submitted through DRIVEHUB are binding.

By placing a bid, the buyer represents that they:

• Have reviewed the vehicle listing;
• Have reviewed the available photographs and vehicle information;
• Have had an opportunity to perform appropriate due diligence;
• Have sufficient funds or financing arrangements to complete the purchase; and
• Agree to complete the purchase if they become the winning bidder.

A buyer should not place a bid unless they are prepared to complete the purchase and make full payment within two (2) business days.

6. Seller's Obligation to Complete the Sale

Once a vehicle has been sold through DRIVEHUB, the seller is expected to complete the transaction in accordance with the listing and these Auction Rules.

A seller may not cancel a completed sale simply because the final price is lower than expected, the seller changed their mind, received another offer, or believes the vehicle is worth more.

Exceptions may apply when there is fraud, an unlawful transaction, a material error in the listing, or another circumstance that DRIVEHUB determines justifies cancellation.

7. Vehicle Description and Disclosure

The seller must accurately describe the vehicle and disclose known material defects or issues.

The seller must not intentionally misrepresent:

• Vehicle condition;
• Mileage;
• Ownership;
• Title status;
• Lien status;
• Accident or damage history;
• Mechanical condition;
• Vehicle identification information; or
• Any other material information concerning the vehicle.

8. Title Must Correspond to the Vehicle

The title provided by the seller must correspond to the vehicle sold, including the correct VIN.

The seller may not provide a fraudulent, altered, counterfeit, invalid, or unrelated title.

Any attempt to provide fraudulent or misleading title documentation may result in immediate cancellation of the transaction and suspension or permanent termination of the seller's account.

9. Buyer Due Diligence

Buyers are responsible for performing their own due diligence before placing a bid.

Buyers should review all available photographs, vehicle history information, title information, mileage, condition reports, disclosures, and other information provided with the listing.

By placing a bid, the buyer acknowledges that they have had an opportunity to review the available information and make their own purchasing decision.

10. Cancellation and Revocation

DRIVEHUB may cancel, revoke, suspend, or terminate an auction or transaction when:

• The seller fails to provide the required title;
• The buyer fails to make the required payment;
• Required documentation is not provided;
• The seller cannot establish ownership or authority to sell;
• Fraud or suspected fraud is identified;
• Material information was misrepresented;
• The transaction cannot legally be completed;
• A buyer or seller violates these Auction Rules or the Terms of Service; or
• DRIVEHUB reasonably determines that cancellation is necessary to protect the platform, buyer, seller, or other participants.

11. Account Suspension

DRIVEHUB may suspend or permanently terminate an account if a buyer or seller repeatedly fails to complete transactions or violates these Auction Rules.

This includes repeated failure to pay, repeated failure to provide titles, fraudulent activity, bid manipulation, false information, or attempts to circumvent DRIVEHUB's procedures or fees.

12. Administrative Penalties

The $500 penalties described in these Auction Rules are applicable when the responsible party fails to comply with the corresponding two-business-day obligation.

The seller's $500 penalty applies when the seller fails to provide the required title within the required two-business-day period.

The buyer's $500 penalty applies when the winning buyer fails to provide full payment within the required two-business-day period.

Where legally permitted, DRIVEHUB may deduct applicable amounts from funds otherwise payable to the responsible party.

13. Compliance With Applicable Law

All buyers and sellers are responsible for complying with all applicable federal, state, and local laws relating to vehicle ownership, title transfers, registration, taxes, odometer disclosures, liens, vehicle sales, and transportation.

Nothing in these Auction Rules is intended to waive or override any rights or obligations that cannot legally be waived.

14. Agreement to These Auction Rules

By creating an account, listing a vehicle, checking the required acknowledgment boxes, placing a bid, purchasing a vehicle, or otherwise participating in a DRIVEHUB auction, you acknowledge that you have read, understood, and agreed to these Auction Rules.

15. Changes to These Auction Rules

DRIVEHUB may modify these Auction Rules from time to time. Updated rules will become effective when posted on the DRIVEHUB website unless otherwise stated.

Your continued use of DRIVEHUB after updated Auction Rules become effective constitutes acceptance of the updated rules.
